End User Software License Agreement (EULA)

This End-User Software License Agreement (the “Agreement”) is made and effective date: July 03, 2025

This End-User Software License Agreement (“Agreement”) is made between Lyvads Limited (“Lyvads,” “we,” “us,” or “our”) and you, the user (“you,” “your,” or “User”). This Agreement governs your access and use of the Lyvads platform, including your interaction with celebrities, content engagement, and responsibilities as a client. By accessing or using the platform, you agree to be bound by the terms and conditions of this Agreement.

RECITALS

WHEREAS, Lyvads has developed certain computer programs or smartphone applications and related documentation more particularly described in Schedule A attached hereto (the Products") and desires to grant User a license to use the Software.

WHEREAS, User wishes to use the Software under the conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual promises set forth herein, User and Lyvads hereby agree as follows:

1. DEFINITIONS

The following definitions shall apply to this Agreement:

"Software" means the computer programs or smartphone applications and documentation listed in Schedule A attached to this Agreement.

"Install" means placing the Software on a computer's hard disk, CD-ROM or onto a smartphone’s memory or other secondary storage device. "Derivative Works" means a work that is based upon one or more preexisting works, such as a revision, modification, translation, abridgment, condensation, expansion or any other form in which such a preexisting work may be recast, transformed or adapted, and that, if prepared without authorization by the owner of the preexisting work, would constitute copyright infringement. "Use" means (i) executing or loading the Software into computer RAM, smartphone RAM or other primary memory, and (ii) copying the Software for archival or emergency restart purposes. "Territory" means Nigeria.

2. SOFTWARE LICENSE

Lyvads hereby grants to User a perpetual, non-exclusive license to use the Software and Documentation (collectively, the "Software System"), subject to the terms and conditions hereinafter set forth. This License is effective when executed by both parties and the license granted to the Software remains in force until User stops using the Software or until Lyvads terminates this License because of User's failure to comply with any of its terms and conditions.

Lyvads hereby grants to User a nonexclusive license to install and use the Software on to several single-user computers in its possession.

3. LICENSE FEE

As consideration for the perpetual license to use the Software System granted to User herein, User shall not pay Lyvads. However, the use of several services within the Software System may require payments.

4. USER’S RIGHTS AND OBLIGATIONS

The Software and Documentation are protected by Nigerian copyright laws and international treaties. User must treat the Software and Documentation like any other copyrighted material – for example a book. User may not:

A. Copy the Documentation
B. Copy the Software except to make archival or backup copies as provided above
C. Modify or adapt the Software or merge it into another program
D. Reverse engineer, disassemble, decompile or make any attempt to discover the source code of the Software
E. Place the Software onto a server so that it is accessible via a pubic network such as the Internet
F. Sublicense, rent, lease or lend any portion of the Software or Documentation.

5. RESTRICTIONS ON OBJECTIONABLE, INAPPROPRIATE, AND HARMFUL CONTENT

Lyvads is committed to providing a safe, respectful, and legally compliant environment for all users and participating talent. Accordingly, the following restrictions apply to all content submitted, uploaded, requested, shared, or otherwise transmitted on or through the Lyvads platform.


5.1 Prohibited Content: Users shall not request, submit, or disseminate any content through the platform that: • Endangers, exploits, or depicts minors in any form of sexual, abusive, suggestive, or otherwise inappropriate context. • Involves or promotes child grooming, trafficking, exploitation, or abuse in any manner whatsoever. • Contains or promotes sexually explicit, pornographic, or obscene material, including nudity or sexually suggestive language, images, or gestures. • Depicts or encourages graphic violence, mutilation, gore, or bloodshed, including scenes of torture, murder, abuse, or other excessively violent acts. • Contains lewd, vulgar, obscene, or profane language, especially in content directed at celebrities or public figures. • Harasses, bullies, threatens, or defames any person or group, or incites hatred or discrimination based on race, ethnicity, gender, religion, nationality, disability, or sexual orientation. • Encourages or depicts criminal conduct, including drug use, underage drinking, weapon usage, terrorism, or self-harm. • Requests celebrities to engage in or endorse behavior that is degrading, illegal, humiliating, offensive, or contrary to public morals. • Infringes upon any third party’s intellectual property rights, privacy rights, or publicity rights. • Is otherwise contrary to the values, safety standards, or community expectations of the Lyvads platform.


5.2 Child Safety and Zero Tolerance: Lyvads enforces a zero-tolerance policy toward any content that involves or suggests child endangerment, abuse, or inappropriate involvement of minors. • Any such content will result in immediate removal, account suspension or termination, and, where appropriate, referral to law enforcement or child protection authorities. • Lyvads complies fully with national and international laws regarding child protection and mandatory reporting.


5.3 Content Moderation and Enforcement: Lyvads reserves the right to: • Pre-screen, flag, block, edit, or delete any content that it considers, in its sole discretion, to violate this clause or any applicable laws. • Deny fulfillment of user requests deemed inappropriate or offensive. • Suspend, restrict, or permanently terminate the account of any User who submits or attempts to submit objectionable content. • Withhold or reverse any payments or credits associated with violating content.


5.4 Reporting Inappropriate Content: • Users, celebrities, or partners may report any potentially harmful or objectionable content via in-app tools or by emailing safety@lyvads.com. • Lyvads will review reports promptly and take appropriate action within 48 hours, including content removal, warnings, or user suspension.


5.5 Indemnification: Users agree to indemnify, defend, and hold harmless Lyvads, its officers, directors, affiliates, and licensors from any claims, liabilities, damages, or legal expenses resulting from the submission, publication, or request of any content in violation of this clause.

6. LIMITED WARRANTY

Lyvads warrants that for a period of 100 of days after delivery of the Software to User that the Software will perform in substantial accordance with the Documentation.
To the extent permitted by law, THE FOREGOING LIMITED WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED, AND LYVADS DISCLAIMS ANY AND ALL IMPLIED WARRANTIES OR CONDITIONS, INCLUDING ANY IMPLIED WARRANTY OF TITLE, NONINFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, regardless of whether Lyvads knows or had reason to know of User particular needs. No employee, agent, or distributor of Lyvads is authorized to modify this warranty, nor to make any additional warranties.

7. LIMITED REMEDY

Lyvads entire liability and User exclusive remedy shall be:

A. The replacement of any content requested not meeting the standards agreed upon which is unused, downloaded or distributed by the User, or
B. If Lyvads are unable to deliver a replacement that is free of defects in materials or workmanship, partial refunds may be considered.
IN NO EVENT WILL LYVADS BE LIABLE TO USER FOR ANY DAMAGES, INCLUDING ANY LOST PROFITS, LOST SAVINGS, OR OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OR THE INABILITY TO USE OR DISSATIFACTION WITH THE SOFTWARE (EVEN IF LYVADS HAS BEEN ADVISED OF THE POSSIBILITY OF THESE DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.

8. REPRESENTATIONS AND WARRANTIES

Lyvads hereby represents and warrants to User that:

A. Lyvads is the owner of all right, title and interest, including copyright, in all the Licensed Materials, or has the authority to enter into this Agreement on behalf of the owner.
B. Lyvads has not granted any rights or licenses to the Licensed Materials that would conflict with Lyvads's obligations under this Agreement.
C. Lyvads will not enter into any agreement with any third party which would affect User's rights under this Agreement, or bind User to any third party, without User's prior written consent.
D. User's use of the Licensed Materials as authorized by this Agreement will not infringe any existing copyright, trade secret, patent or trademark rights of any third party.

9. TERMINATION

Lyvads shall have the right to immediately terminate this License if User fails to perform any obligation required of User under this Agreement or if User becomes bankrupt or insolvent. This License Agreement takes effect upon User’s use of the software and remains effective until terminated. User may terminate it at any time by destroying all copies of the Software and Documentation in its possession. It will also automatically terminate if User fails to comply with any term or condition of this License Agreement.

10. DESTRUCTION OF SOFTWARE UPON TERMINATION

Upon termination of this License, User shall destroy or uninstall the original and all copies of the Software including partial copies and modifications. Lyvads shall have the right to a reasonable opportunity to assure compliance with this provision.

11. TITLE TO SOFTWARE

Lyvads retains title to and ownership of the Software and all enhancements, modifications and updates of the Software.

12. MODIFICATION AND ENHANCEMENTS

User will make no efforts to reverse engineer the Software, or make any modifications or enhancements without Lyvads's express written consent.

13. THE SOFTWARE

The Software shall consist of the modules or components, shall perform the functions and shall comply with the proposals and specifications, identified or set forth on Schedule A, annexed hereto. Each Software module or component, specification and proposal included or referred to in Schedule A is expressly incorporated by reference herein.

14. DOCUMENTATION

The Documentation shall consist of all operator and user manuals, training materials, guides, listings, specifications, and other materials for use in conjunction with the Software, as set forth in Schedule B, annexed hereto. Lyvads shall deliver to User, as specified below, 3 complete copies of the Documentation set forth in Schedule B. User shall have the right, as part of the license granted herein, to make as many additional copies of the Documentation for its own use as it may determine.

15. SOURCE CODE

The Software shall include its Source Code form (the "Source Code"), and all relevant explanations and documentation of the Source Code (collectively, "Commentary"). Lyvads is required to deliver to User, two (2) copies of the complete Source Code contained on machine-readable media and a complete listing of the Source Code and Commentary.

16. OPERATING ENVIRONMENT

The Software, and each module or component and function thereof, shall be capable of operating fully and correctly on the combination of computer equipment ("Hardware") the programming language and the Operating System specified in Schedule D, annexed hereto.

17. DELIVERY

Within thirty (30) days of the execution of this Agreement by Lyvads, and upon no less than five (5) days' prior notice to User, Lyvads shall deliver to User, the required number of copies of the Software together with the required number of copies of the Documentation. Upon at least five (5) days' notice to Lyvads, User may postpone the delivery of the Software System to a mutually agreed-upon date no more than fifteen (15) days thereafter. Lyvads shall bear all freight, shipping and handling costs for such delivery of the Software System and all risk of loss, including any insurance costs.

18. SOFTWARE INSTALLATION AND ACCEPTANCE

Promptly after delivery of the Software System to the Site, Lyvads shall install the Software on the Hardware.

19. NEW LOCATION

User may, at any time, without prior notice to or consent of Lyvads, transfer the Software to any location other than the site of initial installation for use on any other central processing unit ("CPU") which is owned or controlled by User or by subsidiaries or other entities owned or controlled by User. User shall thereafter promptly give Lyvads notice of such new location.

20. MULTIPLE USE OPTION

User shall have the option to extend the license granted hereunder to include use of the Software on more than a single CPU which it may exercise in its sole discretion at any time by tendering to Lyvads a payment equal to [%] of the License Fee specified above for the first additional site and a payment equal to [%] of the License Fee specified above for each additional CPU on which the Software shall be so used, together with a notice identifying such CPU and its location.

21. TRAINING

21.The License Fee includes all costs for the training of User's employees on the use and operation of the Software on the Hardware, including instruction in any necessary conversion of User's data for such use.

22. SOFTWARE MAINTENANCE

A. During the warranty period, Lyvads shall promptly notify User of any defects or malfunctions in the Software or Documentation of which it learns from any source. Lyvads shall promptly correct any defects or malfunctions in the Software or Documentation discovered during such warranty period and provide User with corrected copies of same, without additional charge. Lyvads's obligation hereunder shall not affect any other liability which it may have to User.

B. Lyvads shall provide to User, without additional charge, copies of the Software System and Documentation revised to reflect any enhancements to the Software System made by Lyvads during the warranty period. Such enhancements shall include all modifications to the Software System which increase the speed, efficiency or ease of operation of the Software System, or add additional capabilities to or otherwise improve the functions of the Software System.

23. ADDITIONAL SUPPORT

During the warranty period, Lyvads shall provide to User, without additional charge, all reasonably necessary telephone or written consultation requested by User in connection with its use and operation of the Software System or any problems therewith. Telephone consultation shall be requested and provided only during Lyvads's normal business hours and User shall pay all long distance telephone charges in connection therewith.

24. SOFTWARE MAINTENANCE CONTRACT AND RENEWAL OPTION

After expiration of the warranty period referred to above, Lyvads shall provide maintenance, additional support and enhancements in connection with the Software System, pursuant to the one (1) year Software Maintenance Contract executed concurrently herewith, a copy of which is annexed hereto. Lyvads hereby grants to User up to three (3) options to renew said contract, each for a period of one year, for a fee to be negotiated annually by User and Lyvads, but in no event exceeding the fee charged for the preceding year's contract by more than 10%.

25. USER'S MODIFICATIONS

User shall not have the right, in its own discretion, to independently modify the Software System for its own purposes and use,

26. CONFIDENTIALITY

Each party agrees that it shall not disclose to any third party any information concerning the customers, trade secrets, methods, processes or procedures or any other confidential, financial or business information of the other party which it learns during the course of its performance of this Agreement, without the prior written consent of such other party. This obligation shall survive the cancellation or other termination of this Agreement. The Software contains trade secrets and proprietary know-how that belong to us and it is being made available to User in strict confidence. ANY USE OR DISCLOSURE OF THE SOFTWARE, OR OF ITS ALGORITHMS, PROTOCALS OR INTERFACES, OTHER THAN IN STRICT ACCORDANCE WITH THIS LICENSE AGREEMENT, MAY BE ACTIONABLE AS A VIOLATION OF OUR TRADE SECRET RIGHTS.

27. PUBLICITY

Lyvads shall not refer to the existence of this Agreement in any press release, advertising or materials distributed to prospective customers, without the prior written consent of User.

28. LYVADS'S PROPRIETARY NOTICES

User agrees that any copies of the Software or Documentation which it makes pursuant to this Agreement shall bear all copyright, trademark and other proprietary notices included therein by Lyvads and, except as expressly authorized herein, User shall not distribute same to any third party without Lyvads's prior written consent. Notwithstanding the preceding sentence, User may add its own copyright or other proprietary notice to any copy of the Software or Documentation which contains modifications to which User has ownership rights pursuant to this Agreement.

29.MOST FAVORED CUSTOMER

Lyvads agrees to treat User as its most favored customer. Lyvads represents that all of the prices, warranties, benefits and other terms being provided hereunder are equivalent to or better than the terms being offered by Lyvads to its current customers. If, during the warranty period, Lyvads enters into an agreement with any other customer providing such customer with more favorable terms, then this Agreement shall be deemed appropriately amended to provide such terms to User. Lyvads shall promptly provide User with any refund or credits thereby created.

30. ASSIGNMENT

User may assign this agreement to any subsidiary or affiliate under its control, or as part of the sale of that part of its business which includes the Hardware or any substantial portion of its data processing facilities, or pursuant to any merger, consolidation or other reorganization, without Lyvads's consent, upon notice to Lyvads. Lyvads shall not assign this Agreement without User's prior written consent, which shall not be unreasonably withheld. An assignee of either party, if authorized hereunder, shall have all of the rights and obligations of the assigning party set forth in this Agreement.

31. INDEMNITY

Lyvads agrees to indemnify and hold harmless User and its subsidiaries or affiliates under its control, and their directors, officers, employees and agents, against any and all losses, liabilities, judgments, awards and costs (including legal fees and expenses) arising out of or related to any claim that User's use or possession of the Software or Documentation, or the license granted hereunder, infringes or violates the copyright, trade secret or other proprietary right of any third party. Lyvads shall defend and settle at its sole expense all suits or proceedings arising out of the foregoing, provided that User gives Lyvads prompt notice of any such claim of which it learns. No settlement which prevents User from continuing to use the Software System as provided herein shall be made without User's prior written consent. In all events, User shall have the right to participate in the defense of any such suit or proceeding through counsel of its own choosing.

32. ARBITRATION

The parties agree to submit any dispute under this License to binding arbitration in the following location [LIST CITY OR COUNTY WHERE ARBITRATION WILL OCCUR] under the rules of the [ASSOCIATION]. Judgment upon the award rendered by the arbitrator may be entered in any court with jurisdiction to do so.

33. ATTORNEY FEES

If any legal action is necessary to enforce this License, the prevailing party shall be entitled to reasonable attorney fees, costs and expenses in addition to any other relief to which it may be entitled.

34. LIMITED LIABILITY

Unless otherwise expressly stated herein, Lyvads shall not be liable to User for any consequential damages arising out of Lyvads's breach of this Agreement.

35. NOTICE

All notices required or permitted to be given by one party to the other under this Agreement shall be sufficient if sent by certified mail, return receipt requested, to the parties at the respective addresses set forth above or to such other address as the party to receive the notice has designated by notice to the other party.

36. GOVERNING LAW

This Agreement shall be governed by and construed under the laws of the Federal Republic of Nigeria.

37. CONSENT TO JURISDICTION, VENUE AND SERVICE

Lyvads consents and agrees that all legal proceedings relating to the subject matter of this Agreement shall be maintained in courts sitting within Lagos State, Nigeria, and Lyvads consents and agrees that jurisdiction and venue for such proceedings shall lie exclusively with such courts. Service of process in any such proceeding may be made by certified mail, return receipt requested, directed to the respective party at the address at which it is to receive notice as provided herein.

38. SEVERABILITY

If any provision of this Agreement is held invalid or otherwise unenforceable, the enforceability of the remaining provisions shall not be impaired thereby.

39. NO WAIVER

The failure by any party to exercise any right provided for herein shall not be deemed a waiver of any right hereunder.

40. COMPLETE AGREEMENT

This Agreement sets forth the entire understanding of the parties as to its subject matter and may not be modified except in a writing executed by both parties.

COMPUTER PROGRAMS AND DOCUMENTATION

Licensed Software Components:

    • Allows users to register, log in, browse celebrity profiles, make content requests, and manage their account.
    • Built with React Native, .NET for REST API backend.
  • 2. Lyvads Web Portal:
    • Browser-based platform for managing client engagements, uploading content, reviewing requests, and accessing premium features.
    • Developed using ReactJS and Node.js.
  • 3. Celebrity Engagement Engine:
    • Proprietary backend engine that routes user requests to relevant celebrity accounts.
    • Features include video message automation, live chat handling, and scheduling.
  • 4. Client Dashboard:
    • A specialized module that provides advanced analytics, engagement metrics, usage history, and account billing.
    • Includes downloadable CSVs, invoices, and performance data.
  • 5. Content Delivery & Media Library:
    • Secure repository for received video messages, personalized content, and past interactions.
    • Built-in encryption and download protection.
  • 6. Notifications & Messaging System:
    • Real-time push notifications, email updates, and internal messaging between users and celebrities
    • Supports Firebase Cloud Messaging and SMTP relay.

The following documentation shall be provided to the User in connection with the Lyvads Software System. All documentation shall be in electronic format (PDF or web-based where applicable), unless otherwise agreed:

    • Lyvads Platform User Manual
      A comprehensive guide detailing how to register, log in, use core features (such as celebrity requests, content engagement, dashboard usage), and manage account settings.
    • Mobile App Quick Start Guide
      A simplified onboarding document for smartphone users (iOS and Android), covering app installation, login, and navigation.
  • 2. Administrator Guides
    • Client Dashboard Manual
      Detailed instructions for managing client accounts, setting up requests, monitoring usage, and interpreting analytics on the web portal.
    • Content Management Guidelines
      Best practices for uploading, reviewing, moderating, and archiving user-generated and celebrity-uploaded content.
  • 3. Technical Documentation
    • System Requirements Sheet
      Lists supported operating systems, browsers, mobile device specifications, internet connection requirements, and compatible third-party tools.

      Explains rules governing celebrity content creation, intellectual property boundaries, prohibited material, and request limitations.

    • Introductory Video Tutorials
      Short how-to videos demonstrating key actions on the Lyvads platform (accessed via the Help Center or mobile app).
    • Onboarding Slides for Enterprise Clients
      Slideshow deck used during team onboarding sessions for premium clients (includes use-case walkthroughs and setup instructions).


SCHEDULE C

PAYMENT SCHEDULE

This Schedule sets forth the applicable charges, payment terms, and billing structure for the use of paid services on the Lyvads Software System.

General Access Fee
Use of the Lyvads Software System (registration, browsing, and basic interaction features) is free of charge. Users will only be charged for premium services as listed below.

Content Request Fees Standard Video Request: ₦5,000 – ₦20,000 per video (depending on celebrity tier)
Custom Video Message (priority): ₦25,000 – ₦50,000
Live 1-on-1 Video Session (15 mins): ₦50,000 minimum
Bulk/Business Use License: Quoted on request

Subscription Packages (Optional)
Lyvads Plus Monthly: ₦3,000/month Includes: Early access to celebrity calendars, 1 monthly discount coupon, and private message option.

Lyvads Pro Monthly: ₦10,000/month
Includes: Priority request queuing, no service fees on purchases, and advanced content insights.

Service Fees
A service fee of 5% may be applied to all transactions processed through the platform to cover payment gateway charges and processing costs.

Enterprise Licensing (For Institutional Clients)
Custom integration, API access, white-label branding, or campaign licensing shall be billed as follows:
Setup Fee: ₦150,000 – ₦500,000 (based on scope)
Monthly Licensing: Starting at ₦100,000/month
Final pricing shall be agreed via individual contract and invoiced separately.

Payment Terms
All payments must be made in Nigerian Naira (NGN).
Payment is due in full at the point of transaction for individual users.
Enterprise clients may request monthly invoicing, payable within 15 days of invoice date.

Refund Policy
Refunds will only be issued for:
Unfulfilled or undelivered content after 14 working days
Cancelled requests prior to celebrity acceptance Refunds shall be processed within 5–7 business days upon approval.

ACCEPTANCE TESTING PROCEDURE

This Data Protection Addendum (“DPA”) is an integral part of the Lyvads End-User License Agreement and governs the collection, use, processing, and protection of personal data by Lyvads Limited (“Lyvads”). 1.LEGAL COMPLIANCE Lyvads shall comply with all applicable data protection laws, including: • Nigeria Data Protection Regulation (NDPR) • Where applicable, the General Data Protection Regulation (GDPR) (EU Regulation 2016/679) Lyvads acts as a Data Controller in relation to its users’ data and, in specific enterprise contexts, may also function as a Data Processor. 2.CONSENT TO PROCESSING By registering, using the platform, or interacting with Lyvads services, you expressly consent to the collection, use, and processing of your personal data as described below: “I understand and agree that Lyvads Limited may collect, use, store, and process my personal data in accordance with this agreement and its Privacy Policy. I have been informed of my rights, and I voluntarily give this consent.” You may withdraw your consent at any time by contacting: privacy@lyvads.com 3.CATEGORIES OF DATA COLLECTED Lyvads collects the following categories of personal data: Category Examples of Data Collected Identity Data Full name, gender (optional), selfie/photo, date of birth Contact Data Email address, phone number Authentication Password (encrypted), social login tokens, MFA configuration Profile Data Profile photo, interactions with celebrities, preferences, tags Device Info Device type, OS, browser type, screen resolution Usage Data Login timestamps, viewed content, click paths, time spent Payment Data Card type (non-sensitive), transaction records, billing name Geolocation IP-based or GPS-based location (with permission) Support Data Support messages, complaint records, issue resolution history Marketing Data Newsletter preferences, promo participation history 4.PURPOSE OF PROCESSING Lyvads uses your data to: • Create and manage your Lyvads account • Facilitate content and service delivery (e.g. celebrity video messages) • Enable secure access and login • Improve platform experience and personalization • Process transactions and maintain billing records • Comply with legal obligations and prevent fraud • Deliver updates, notifications, and relevant offers (with consent) 5.DATA SECURITY Lyvads implements technical and organizational safeguards including: • TLS 1.3 encryption for data in transit • AES-256 encryption for data at rest • Role-based access control for sensitive systems • Daily encrypted backups and incident recovery protocols • Quarterly vulnerability scans and annual penetration testing 6.THIRD-PARTY PROCESSORS Lyvads uses trusted third-party services for storage, analytics, and payments (e.g. AWS, Firebase, Paystack). All third parties: • Are bound by data processing agreements • Are vetted for compliance and data protection standards • May not use data for their own purposes A full list of sub-processors is available on request. 7.INTERNATIONAL DATA TRANSFER Where personal data is transferred outside Nigeria or its country of origin, Lyvads ensures adequate protection through: • Hosting in regions with adequate data protection laws • Standard Contractual Clauses (SCCs) for cross-border data sharing • Secure encrypted tunnels and APIs for remote access 8.USER RIGHTS As a data subject, you have the right to: • Access your personal data • Rectify or update your data • Request deletion or restriction of processing • Object to processing (including marketing) • Request data portability in machine-readable form • Withdraw consent at any time Requests shall be handled within 30 days, free of charge unless manifestly excessive. 9.DATA RETENTION Personal data shall be retained only for as long as is necessary to fulfill the purposes outlined above or to comply with legal, tax, or regulatory obligations. After this period, data will be: • Permanently deleted, or • Anonymized for research or reporting purposes. Example Retention Periods: • Account data: while account is active + 12 months after closure • Transaction data: 6 years (for compliance) • Support data: 2 years 10.DATA BREACH NOTIFICATION In the event of a data breach involving user data, Lyvads shall: • Notify affected users and regulatory bodies within 72 hours • Provide timely updates on remediation efforts • Maintain a record of incidents and resolution steps 11.AUDIT RIGHTS Lyvads shall maintain records of processing activities and make them available to supervisory authorities upon request. Enterprise Users may request a summary audit report once annually or conduct a supervised audit upon 30 days’ notice. 12.LIABILITY & INDEMNITY Lyvads accepts responsibility for any breach of data protection caused by its negligence and shall: • Indemnify Users for losses resulting from unauthorized disclosure or misuse • Maintain liability insurance where required by law 13.GOVERNING LAW This DPA shall be governed by the laws of the Federal Republic of Nigeria. Any dispute shall be subject to arbitration in accordance with the main Agreement.
